Terms and Conditions

TERMS AND CONDITIONS – UK, Right Hand Drive Vehicle Buyers

1. "We" (and related expressions like "us" and "ours" refer to Autocar Digital Solutions Ltd, the company behind the ImportMarques.com web site. Our address is Autocar Digital Solutions Ltd, Vale House Business Centre, 100 Vale Road, Windsor, Berkshire, SL4 5JL.

2. "You" refers to you the customer who has approached Import Marques.com and wishes to purchase a vehicle using our services.

3. This is not a contract for the sale of goods. If you decide to buy a car using our service we will act on your behalf and find a supplier who can sell you a car that meets your requirements. We are responsible for placing the order with the supplier, collecting the car, UK delivery, registration of the car and we will assist you in any correspondence, disputes or other queries with the supplier.

4. When you sign our company order form and authorise us to place an order on your behalf, you will enter into this Agency Agreement with us. You agree to pay us our handling fee in pounds sterling when you place an order with our company and this will be clearly shown on the vehicle order form. An initial handling fee becomes due upon you signing the order form and the balance becomes due to our company when you make the initial deposit payment to the supplying main franchise dealer.
You pay the vehicle deposit and the final outstanding balance direct to the dealer as this ensures that the car will be ordered in your name and that these payments will only be used for the purchase of your car. In the event of you cancelling an order after signing our agency order form agreement but before making a deposit payment to the dealer, the initial handling fee as stated on the signed order form becomes the final handling charge to you and must be paid in full to Autocar Digital Solutions Ltd. There will be no further fee payments to either Autocar Digital Ltd or the supplying dealer once the initial handling fee has been paid in the event of cancellation. The vehicle build slot requested will be cancelled or the physical stock car sold to another buyer.

4a. If the estimated delivery time, as stated on the Supplying dealer order form, is delayed by the manufacturer by more than 5 months, you will be given the option to cancel the order and get a full refund of monies paid to the dealer. An administration charge of £500.00 + vat will be retained by Autocar Digital Solutions Ltd if the cancellation goes ahead.

5. We will send you an order which will include: specification of the car offered for sale, the indicative price of the car in sterling, based on the current exchange rate on the date of the initial enquiry, estimated delivery time and the deposit payable including our fees. The price is subject to exchange rate fluctuations, however if required we can fix the Sterling price for you by introducing you to our partners, such as Sterling Exchange London who will be able to help you secure the foreign currency in advance. The manufacturer is entitled to make changes to the factory specification, which can result in a price change (see 10)

6. Your contract for the purchase of the car will be with an authorised franchise main dealer.

7. To place an order you need to return a completed and signed order form with a cheque for the first part of our handling fee. You also must transfer the required deposit to the dealer whose bank details will be supplied by our company. If required please use our foreign exchange partner to get a better spot rate for your deposit payment. You also agree to provide us with a copy of your passport and driving licence. The supplying dealer will also require a good copy of your passport for order purposes.

8. We will only be responsible for placing an order for the vehicle as specified on the order form. It is your responsibility to ensure that all the details are correct. Any manual changes made by you will not be accepted. The completed order form will supersede anything we may have stated or represented to you beforehand, either by email, on our website or any other communication in writing or over the telephone. None of our staff is authorised to make any statements without written confirmation from Autocar Digital Solutions Ltd. Any statement made to you directly from the supplier will only be valid if confirmed in writing by Autocar Digital Solutions Ltd.

9. Once you have signed and returned the official dealer order confirmation, it is a legally binding contract between you and the supplier. It is not always possible to change the specification after the order has been placed but Autocar Digital Solutions Ltd can advise on this. Any specification changes from the original specification must be made in writing and agreed with us. If you wish to cancel the order because you are unable to change the specification you will incur cancellation charges potentially up to the full value of your deposit.

10. Sometimes the manufacturer changes specifications and prices. You must agree that the supplier will provide you with a vehicle containing such changed specifications and prices. We will inform you in writing of these changes as soon as possible. These changes will not be a reason to cancel the order. If due to changes in the law the amount due for VAT, registration fee or taxes are higher than at the date the order was placed, we shall be entitled to pass these higher charges on to you.

11. Our quoted price includes: all VAT, first registration fee, all our fees, 12 months road tax, number plates, importation costs, delivery to a UK mainland address by transporter or other means and as a minimum a 2 year Manufacturer Warranty. Where quoted some vehicles are sold with a 3 year Manufacturers Warranty. Delivery of vehicles outside mainland UK will attract an additional charge. If required you can collect the vehicle yourself and carry out the UK vehicle registration yourself.

12. Payment of the final  balance amount is due as soon as the car has been built and we will write to you including the chassis number of your car for payment of the final balance. Delivery of the car to you will on average take two to three weeks after your funds have cleared in the supplying dealers account.

13. As your agent we have to rely on our suppliers for the supply of the vehicles. We therefore cannot accept responsibility for late deliveries or other problems with the vehicle. We will not be liable for economic loss including any loss of bargain and additional costs of purchasing an alternative car nor for the cost of alternative transport you may incur between the date of placing the order and the final delivery, even in cases where the delivery date has changed. Delays in delivery are no reason for cancellation, only if the manufacturer agrees to accept a cancellation will we be able to accept a cancellation. We will then make certain all monies paid to the dealer will be returned to you as soon as possible. There will be no refund made on fees paid to Autocar Digital Solutions Ltd unless terms in Clause 4a apply.

14. If you do not pay any amount owed to us (including handling fee, transportation or road fund licence) or the dealer on its due date, we will give you written notice of non-payment. If you do not pay this amount within 14 days of this notice, we will be entitled to terminate this agreement. We will be entitled to sell the vehicle to recover our losses. You will not be entitled to a refund of your deposit payment or any other fees paid.

15. We will register the car in the name and address that you have given us on the order form or any other name/address that you give us. You agree to provide us with a valid Certificate of Insurance for registration purposes.

16. Our appointed transport company will arrange the delivery to our office premises in Windsor, Berkshire.  We will agree a date with you for the delivery. If you want to delay the delivery by more than 14 days you may be liable for additional cost. If you are not present on the day of delivery or cancel an agreed delivery with less than 48 hours notice you may be charged costs for an aborted delivery.

17. After inspecting the car you will have to sign the delivery note. Once you have signed this we will no longer be acting as your agent for any damage. We will give you another 24 hours to inspect the car and report any damage to us if any of the following applies and this has been noted on the delivery note: the car is dirty, bad weather (heavy rain, snow, etc.) or it is dark when the car gets delivered. You will also have 7 days to report to us in writing if the delivered car does not comply with the specification as set out on the order. Thereafter we will not be responsible as agents for resolving any defects in the specification.

18. We take every effort in ensuring that the information presented on the website, in our emails and any other communication is correct and accurate. However we are dependent for this information on third parties and as such cannot assume responsibility for any errors and/or omissions.

19. If we do not fulfil our contractual obligations to you we will pay you a full refund of any monies paid to us.

20. We will not be responsible for the legal consequences of you entering into contracts with third parties and we do not accept liability for any loss, damage or costs.

21. We will keep any personal details safe and private. Immediately before or at the time we collect any personal information we will tell you what the information is being used for. You will not have to give us personal information, which is not needed for the transaction unless you agree to do so. We will not collect sensitive information (as defined in the Data Protection Act 1998) without your explicit consent. Examples of sensitive data include information about racial origin or health. Any personal information we keep will be kept accurate and up to date and will be kept secure. Any inaccuracies will be amended as soon as you tell us.

22. Your statutory rights are not affected by anything in these Terms and Conditions.

23. This contract is governed by English law and is subject to the jurisdiction of the English courts.
